Mr. Sancho Rodrigo has more than twenty-five years of experience in mergers and acquisitions, including leveraged buyouts, structured finance, project finance, and restructurings. His experience, expertise, and business acumen enable him to provide comprehensive legal counsel to domestic and international clients. Mr. Sancho Rodrigo has extensive international transactional experience in his practice in Mexico and New York, where he served as a foreign legal consultant.

His practice focuses on secured financing and securitization, including asset-backed structures such as microfinance loans and other accounts receivable. The transactions in which he has represented clients include complex syndicated loans; privatizations; strategic alliances; and private equity and venture capital investments.

He has led negotiations regarding reorganizations; creditor rights; out-of-court enforcement; divestitures; and exit and restructuring strategies.

He also has significant experience in arbitration. Among other achievements in this field, he has secured favorable final awards and reached successful settlements for clients in disputes involving billions of dollars in sales, relating to complex contracts entered into by companies controlled by sovereign states, public-private partnerships, and companies in the construction and energy industries.

Mr. Sancho Rodrigo was a partner at González Calvillo for fourteen years, until December 31, 2021.

The following brief list outlines some of the transactions in which Mr. Sancho Rodrigo has represented clients:

  • Represented Gentera in the series of transactions through which it acquired a majority stake in ConCrédito and its regulated microfinance business, including bridge financing and convertible credit arrangements.
  • Bancomext acted as counsel in a $400 million peso financing transaction for Invekra and Laboratorios Sanfer to acquire a line of medical products.
  • Advising Bain Capital and Atento on their $300 million 7.375% 144A/Reg. S offering of senior secured debt instruments and on the $1 billion senior credit facility provided by BBVA Bancomer and Santander for the acquisition of the Atento group from Telefónica.
  • Representation of Crédito Real, a payroll-based consumer credit business, in its initial public offering of shares worth US$200 million on the Mexican Stock Exchange, distributed internationally under Rule 144A and Regulation S.
  • Citi-Banamex acted as lead arranger for a MXP$1 billion revolving credit facility in favor of the Prudential Real Estate Investors CKD issuing trust and in the structuring of the liquidity facility related to capital calls by the same CKD issuing trust.
  • Acting as lead manager for BBVA Bancomer and Facileasing in a short- and long-term commercial paper program totaling MXP$10 billion; a short-term program of MXP$1 billion and a long-term program of MXP$500 million.
  • Represented Maxcom Telecomunicaciones and Bank of America in Maxcom’s initial public offering of shares for US$310 million, filed with the SEC.
  • Advising Bradesco on the acquisition of Mexican assets as part of the US$1 billion purchase of IBI.
  • Representation of Ecuador Bottling Company Corp. in the acquisition of EBC by Embotelladoras Arca for US$320 million.
  • Represented Selina Hospitality in connection with the US$10 million financing received from DD3 Capital Partners for the leasing, construction, and renovation of Selina hotels.
